Subscription Policy

PART I – PRELIMINARY PROVISIONS

1. Introduction

Welcome to ConsulTOpen.

This Subscription & Membership Policy ("Policy") governs the terms applicable to every subscription, membership, premium plan, recurring service, promotional

membership, trial programme and any other subscription-based offering that is presently made available or may be introduced by ConsulTOpen in the future.

ConsulTOpen is committed to maintaining a transparent, flexible and user-friendly subscription framework that enables eligible Users to access premium Platform features through recurring or non-recurring membership plans.

This Policy explains the rights, responsibilities, payment obligations, renewal procedures, cancellation rules, upgrade and downgrade mechanisms, subscription benefits, restrictions and other conditions governing Subscription Plans offered through the Platform.

This Policy applies not only to the Subscription Plans presently offered by ConsulTOpen but also to every future subscription programme, premium membership, institutional membership, enterprise membership, promotional campaign, bundled offering, loyalty programme, trial programme, regional subscription, international subscription, family plan, student plan, working professional plan and every other paid or unpaid membership model that ConsulTOpen may introduce from time to time.

Nothing contained in this Policy shall be interpreted as limiting ConsulTOpen's unrestricted right to innovate, modify, expand, discontinue or replace any Subscription Plan, membership programme or commercial offering in accordance with applicable law and the Terms & Conditions.

2. Purpose of This Policy

The purpose of this Policy is to establish a comprehensive contractual framework governing Subscription Plans made available through the ConsulTOpen Platform.

Without limitation, this Policy governs:

• eligibility for Subscription Plans;
• subscription enrolment;
• billing cycles;
• subscription pricing;
• recurring payments;
• manual renewals;
• automatic renewals;
• free trials;
• promotional subscriptions;
• institutional subscriptions;
• enterprise memberships;
• subscription upgrades;
• subscription downgrades;
• cancellations;
• expirations;
• payment failures;
• AI usage limits applicable to Subscription Plans;
• subscription benefits;
• restrictions on subscription usage;
• future subscription programmes; and
• every other matter reasonably connected with Subscription Services.

This Policy is intended to promote transparency, consistency and fairness while allowing ConsulTOpen to continuously improve and expand its subscription ecosystem.

3. Scope of This Policy

This Policy applies to every individual or entity that purchases, activates, renews, upgrades, downgrades, receives, accesses or otherwise uses any Subscription Plan offered by ConsulTOpen.

Without limitation, this Policy applies to:

• Students;
• Working Professionals;
• Parents or Guardians acting on behalf of Minor Students;
• Educational Institutions;
• Universities;
• Schools;
• Corporate Organisations;
• Enterprise Customers;
• Strategic Partners;
• Beta Programme Participants;
• Promotional Membership Users; and
• every future category of User eligible for Subscription Services.

This Policy applies irrespective of whether the Subscription is paid, complimentary, promotional, trial-based, institution-sponsored or otherwise provided by ConsulTOpen.

4. Relationship with Other Policies

This Subscription & Membership Policy forms an integral part of the comprehensive legal framework governing the ConsulTOpen Platform.

It shall be read together with:

• Terms & Conditions;
• Privacy Policy;
• Refund Policy;
• Cancellation & Rescheduling Policy;
• Settlement & Payout Policy;
• Missed Session & No-Show Policy;
• Consultant Agreement;
• Cookie Policy;
• Artificial Intelligence Policy;
• Community Guidelines; and
• every future Platform Policy published by ConsulTOpen.

Unless expressly stated otherwise, the provisions relating to governing law, dispute resolution, arbitration, limitation of liability, electronic acceptance, interpretation, notices, survival of obligations and every other general legal provision contained in the Terms & Conditions shall apply equally to this Policy.

Where any inconsistency exists between this Policy and the Terms & Conditions, the more specific provision shall prevail only with respect to Subscription Services unless applicable law requires otherwise.

5. Changes to This Policy

ConsulTOpen reserves the unrestricted right, at its sole discretion and to the fullest extent permitted under applicable law, to amend, revise, supplement, replace, update, suspend or discontinue this Policy or any Subscription Plan at any time.

Without limitation, ConsulTOpen may modify:

• Subscription Plans;
• Membership Categories;
• Subscription Benefits;
• Pricing;
• Billing Cycles;
• Payment Methods;
• AI Usage Limits;
• Feature Availability;
• Renewal Procedures;
• Eligibility Requirements;
• Promotional Campaigns;
• Trial Programmes;
• Institutional Memberships;
• Enterprise Memberships;
• Regional Availability; and
• every other aspect of Subscription Services.

Material revisions may be communicated through:

• Website notices;
• Dashboard notifications;
• Email;
• SMS;
• WhatsApp;
• Push notifications;
• In-app notifications; or
• any other electronic communication channel considered appropriate by

ConsulTOpen.

Continued use of any Subscription Plan after the effective date of revised provisions constitutes acceptance of the updated Policy to the fullest extent permitted by applicable law.

6. Electronic Acceptance

This Policy constitutes an electronic legal record.

A User shall be deemed to have accepted this Policy by:

• purchasing a Subscription Plan;
• activating a Subscription;
• renewing a Subscription;
• accepting a free trial;
• enrolling in a promotional membership;
• enabling automatic renewal;
• making a subscription payment;
• continuing to use Subscription Services following publication of this Policy; or
• otherwise using any Subscription Service offered through the Platform.

Electronic acceptance shall possess the same legal validity and enforceability as a handwritten signature to the fullest extent permitted under applicable law.

PART II – SUBSCRIPTION FRAMEWORK

7. Subscription Plans

ConsulTOpen may offer one or more Subscription Plans designed to provide Users with access to premium Platform features, enhanced functionality, Artificial Intelligence-powered tools and other benefits determined by ConsulTOpen from time to time.

At the Effective Date of this Policy, the Platform may offer the following Subscription Plans:

• Free Plan;
• Plus Plan; and
• Pro Plan.

The availability, pricing, features, eligibility requirements and benefits applicable to each Subscription Plan shall be displayed on the Platform and may be modified by ConsulTOpen in accordance with this Policy.

Nothing contained in this Policy shall obligate ConsulTOpen to continue offering any specific Subscription Plan indefinitely.

8. Eligibility for Subscriptions

Unless otherwise specified, every registered User satisfying the applicable eligibility requirements may purchase or activate a Subscription Plan.

ConsulTOpen reserves the right to prescribe different eligibility criteria for different Subscription Plans, including but not limited to:

• Students;
• Working Professionals;
• Educational Institutions;
• Universities;
• Schools;
• Corporate Organisations;
• Enterprise Customers;
• Strategic Partners;
• Beta Participants;
• Promotional Users; and
• any future category of Users introduced by ConsulTOpen.

ConsulTOpen may require additional verification before granting access to certain Subscription Plans where reasonably necessary.

9. Subscription Benefits

Each Subscription Plan may provide access to different Platform features, Artificial Intelligence capabilities, usage limits, premium tools and additional functionality.

The specific benefits available under each Subscription Plan shall be displayed on the Platform.

ConsulTOpen reserves the unrestricted right to:

• add new features;
• remove existing features;
• modify usage limits;
• revise Artificial Intelligence limits;
• introduce new premium tools;
• discontinue existing benefits; and
• modify the scope of any Subscription Plan,

provided such modifications are made in accordance with applicable law and this Policy.

Unless expressly stated by ConsulTOpen, Subscription Plans provide access only to Platform features and shall not include discounted consultation fees, priority consultation bookings or any other consultation-related benefits.

10. Billing Cycles

Subscription Plans may presently be offered on one or more of the following billing cycles:

• Monthly;
• Quarterly; and
• Half-Yearly.

ConsulTOpen reserves the right to introduce additional billing cycles including, without limitation:

• Weekly;
• Annual;
• Multi-Year;
• Lifetime Memberships;
• Pay-as-you-go Plans;
• Credit-based Plans; and
• any other billing model considered appropriate.

The applicable billing cycle shall be selected by the User during subscription purchase where multiple options are available.

11. Free Plans

ConsulTOpen may provide certain Platform features without requiring payment through a Free Plan.

The features, functionality and limitations applicable to the Free Plan shall be determined solely by ConsulTOpen.

ConsulTOpen reserves the unrestricted right to modify, expand, restrict or discontinue any feature available under the Free Plan at any time.

Access to a Free Plan does not create any contractual entitlement to continued availability of any specific feature.

12. Free Trials & Promotional Offers

ConsulTOpen may, at its sole discretion, introduce:

• free trial programmes;
• promotional subscriptions;
• introductory offers;
• referral-based memberships;
• discounted subscription campaigns;
• complimentary access;
• loyalty programmes;
• educational partnership offers;
• institutional promotions; and
• any other promotional programme.

The availability, duration, eligibility requirements and conditions applicable to such programmes shall be determined solely by ConsulTOpen.

ConsulTOpen reserves the unrestricted right to modify, suspend, withdraw or discontinue any promotional programme without creating liability, subject to applicable law.

13. Future Membership Programmes

ConsulTOpen is designed as a continuously evolving Platform.

Accordingly, ConsulTOpen reserves the unrestricted right to introduce additional membership models including, without limitation:

• Institutional Memberships;
• Enterprise Memberships;
• Family Plans;
• Group Memberships;
• Student Ambassador Programmes;
• Creator Memberships;
• Beta Memberships;
• Lifetime Memberships;
• Regional Memberships;
• International Memberships;
• Invite-only Memberships;
• Promotional Memberships;
• Working Professional Plans; and
• any other subscription or membership model considered appropriate by

ConsulTOpen.

Such future programmes shall automatically become subject to this Policy unless a separate policy expressly governs the relevant programme.

14. Regional Availability

Subscription Plans may not be available in every jurisdiction.

ConsulTOpen reserves the right to make different Subscription Plans, pricing, features, billing models and promotional programmes available based upon:

• country;
• state;
• educational institution;
• corporate partnership;
• regulatory requirements;
• payment availability;
• business strategy; or
• any other lawful commercial consideration.

Nothing contained in this Policy guarantees that every Subscription Plan shall be available to every User.

15. Subscription Activation

A Subscription shall become active only after all applicable activation requirements have been successfully satisfied.

Unless expressly stated otherwise by ConsulTOpen, a Subscription shall be deemed activated only when all of the following conditions have been fulfilled:

• successful payment has been received where the Subscription is a paid plan;
• payment verification has been successfully completed where applicable;
• the Subscription has been approved and activated by the Platform;
• a valid activation record has been generated within the Platform; and
• the applicable Subscription benefits have been enabled for the User Account.

Until all applicable activation requirements have been satisfied, no Subscription shall be considered active and no contractual obligation shall arise on the part of ConsulTOpen to provide Subscription Benefits.

Where a Free Plan, complimentary membership, promotional subscription or trial programme does not require payment, activation shall occur only after the Platform successfully registers the User's enrolment in accordance with the applicable programme requirements.

The effective commencement date and time of every Subscription shall be determined exclusively by the electronic records maintained by ConsulTOpen, unless manifest error is established.

ConsulTOpen reserves the unrestricted right to delay, suspend or refuse activation of any Subscription where reasonably necessary, including but not limited to:

• payment verification;
• suspected fraud;
• chargeback risks;
• identity verification requirements;
• technical failures;
• security concerns;
• promotional abuse;
• duplicate subscriptions;
• violations of this Policy or the Terms & Conditions;
• regulatory or legal requirements; or
• any other circumstance reasonably requiring review by ConsulTOpen.

Such delay, suspension or refusal of activation shall not constitute a breach of this Policy where undertaken in good faith and in accordance with applicable law.

PART III – BILLING, PAYMENTS & RENEWALS

16. Subscription Pricing

The price applicable to each Subscription Plan shall be displayed on the Platform at the time of purchase.

Subscription pricing may vary depending upon:

• the Subscription Plan selected;
• the billing cycle selected;
• promotional campaigns;
• geographical location;
• educational institution partnerships;
• enterprise agreements;
• regional pricing;
• applicable taxes;
• currency; or
• any other commercial factor determined by ConsulTOpen.

ConsulTOpen reserves the unrestricted right to revise Subscription pricing at any time in accordance with this Policy and applicable law.

Unless expressly stated otherwise, revised pricing shall apply only to new Subscription purchases and renewals occurring after the revised pricing becomes effective.

17. Payment Methods

Subscription payments shall be processed through payment methods authorised by ConsulTOpen from time to time.

Without limitation, payments may be accepted through:

• UPI;
• Credit Cards;
• Debit Cards;
• Net Banking;
• Digital Wallets;
• EMI;
• Buy Now Pay Later (BNPL);
• International Cards;
• Bank Transfers; and
• any future payment technologies supported by the Platform.

ConsulTOpen presently utilises Razorpay as its primary payment processor but reserves the unrestricted right to introduce, replace or integrate additional payment processors without prior notice.

Users acknowledge that payment processing services are provided by independent third-party payment providers and remain subject to their respective terms and conditions.

18. Subscription Payments

Unless expressly stated otherwise, every paid Subscription shall require successful payment before activation.

No Subscription shall be deemed purchased or activated until:

• payment has been successfully processed;
• payment verification has been completed where applicable;
• the Subscription has been activated by the Platform; and
• an electronic transaction record has been generated.

Users remain responsible for ensuring that valid payment information is maintained throughout the duration of their Subscription.

19. Automatic Renewals

Where automatic renewal has been enabled by the User or is otherwise applicable to the selected Subscription Plan, the Subscription shall automatically renew upon expiry of the current billing period using the User's selected payment method.

The renewal amount shall ordinarily be charged at the pricing applicable on the renewal date unless expressly stated otherwise by ConsulTOpen.

Users may disable automatic renewal through the Platform where such functionality is made available.

Disabling automatic renewal shall not cancel the current Subscription and Subscription Benefits shall continue until the expiry of the existing billing cycle.

ConsulTOpen reserves the right to introduce, modify or discontinue automatic renewal functionality for any Subscription Plan.

20. Manual Renewals

Users who have not enabled automatic renewal may manually renew their Subscription at any time before or after its expiry.

Manual renewal shall be subject to:

• availability of the Subscription Plan;
• payment of the applicable Subscription fee;
• successful payment processing;
• continued eligibility;
• applicable promotional conditions; and
• any other requirements prescribed by ConsulTOpen.

Renewal shall activate a new Subscription period in accordance with the selected billing cycle.

21. Payment Failures

Where a Subscription renewal payment cannot be successfully processed, ConsulTOpen may, at its sole discretion:

• automatically retry the payment;
• notify the User regarding the failed payment;
• temporarily suspend renewal processing;
• request an alternative payment method;
• cancel the pending renewal; or
• take any other commercially reasonable action.

If payment continues to fail after reasonable retry attempts, the Subscription shall expire upon completion of the current billing period.

Following expiry, the User Account shall ordinarily revert to the Free Plan unless another Subscription is successfully activated.

Failure of payment shall not relieve the User from any outstanding payment obligations lawfully incurred before the expiry of the Subscription.

22. Taxes & Currency

Unless otherwise specified, Subscription charges shall presently be processed in Indian Rupees (INR).

ConsulTOpen reserves the right to support additional currencies for international operations and future Platform expansion.

Applicable taxes, duties, levies, GST or other statutory charges shall be imposed in accordance with applicable law.

Where required under applicable law, appropriate tax deductions or statutory recoveries may be made before processing Subscription payments.

Users remain solely responsible for any taxes, bank charges, foreign exchange charges or payment processing fees imposed upon them by financial institutions or payment providers.

23. Promotional Pricing

ConsulTOpen may introduce promotional pricing for selected Subscription Plans from time to time.

Without limitation, promotional pricing may include:

• introductory offers;
• launch offers;
• referral rewards;
• educational discounts;
• institutional pricing;
• regional pricing;
• loyalty rewards;
• seasonal campaigns;
• bundled offers; and
• any other promotional initiative.

Promotional pricing shall remain valid only for the duration specified by ConsulTOpen.

Nothing contained in this Policy guarantees the continued availability of any promotional pricing.

24. Subscription Pricing Errors

Despite commercially reasonable efforts, pricing errors may occasionally occur.

Where an obvious pricing error exists due to:

• software malfunction;
• technical error;
• human error;
• typographical error;
• payment gateway malfunction;
• integration failure; or
• system failure,

ConsulTOpen reserves the unrestricted right to:

• cancel the Subscription purchase;
• correct the pricing;
• issue an appropriate refund where necessary;
• request payment of the correct amount before activation; or
• take any other reasonable corrective action.

Users acknowledge that obvious pricing errors shall not create any contractual entitlement to purchase or renew a Subscription at an incorrect price.

PART IV – SUBSCRIPTION MANAGEMENT

25. Subscription Upgrades

Users may upgrade their Subscription Plan at any time during an active Subscription period, subject to availability and the conditions prescribed by ConsulTOpen.

Where an upgrade is requested, ConsulTOpen may:

• provide immediate access to the upgraded Subscription Plan;
• calculate the applicable charges on a prorated basis;
• adjust the remaining Subscription value towards the upgraded plan;
• commence a new billing cycle where expressly specified; or
• apply any other commercially reasonable upgrade mechanism.

The applicable upgrade charges and revised billing details shall be displayed to the User before confirmation of the upgrade.

ConsulTOpen reserves the unrestricted right to modify the upgrade process from time to time.

26. Subscription Downgrades

Users may request to downgrade their Subscription Plan subject to the options made available on the Platform.

Unless expressly stated otherwise by ConsulTOpen, a downgrade shall become effective only upon expiry of the current Subscription period.

Until the downgrade becomes effective, the User shall continue enjoying the benefits of the existing Subscription Plan.

Downgrading a Subscription shall not entitle the User to any refund, credit or partial reimbursement unless expressly provided by ConsulTOpen or required under applicable law.

27. Subscription Cancellation

Users may cancel the renewal of their Subscription at any time through the Platform where such functionality is available.

Cancellation shall prevent future renewal of the Subscription but shall not immediately terminate the current Subscription.

Unless otherwise specified by ConsulTOpen or required by applicable law, Subscription Benefits shall continue until the expiry of the current billing period.

Upon expiry, the Subscription shall not renew unless the User purchases or renews an eligible Subscription Plan.

28. Subscription Refunds

Except where required under applicable law or expressly approved by ConsulTOpen, Subscription purchases shall be non-refundable.

Without limitation, refunds shall ordinarily not be provided for:

• partial use of a Subscription;
• unused Subscription Benefits;
• voluntary cancellation;
• change of mind;
• accidental failure to use Subscription features;
• dissatisfaction arising from features accurately described on the Platform; or
• expiry of the Subscription period.

Nothing contained in this Policy limits any mandatory consumer rights available under applicable law.

29. Subscription Expiry

Every Subscription shall automatically expire upon completion of its applicable billing period unless:

• successfully renewed;
• replaced through an upgraded Subscription;
• extended by ConsulTOpen;
• renewed through a promotional programme; or
• otherwise continued in accordance with this Policy.

Upon expiry, all Subscription Benefits shall cease unless otherwise specified by ConsulTOpen.

30. Reversion to Free Plan

Unless another active Subscription exists, a User Account shall ordinarily revert to the Free Plan immediately upon expiry of a paid Subscription.

Following such reversion:

• premium features may become inaccessible;
• Artificial Intelligence usage limits may be reduced;
• feature availability may change;
• premium tools may be disabled; and
• the User may continue accessing those Platform features available under the Free

Plan.

Reversion to the Free Plan shall not affect the User Account or previously generated records unless otherwise provided under applicable law or Platform Policies.

31. One Active Subscription per Account

Unless expressly authorised by ConsulTOpen, only one active paid Subscription may be associated with a single User Account at any given time.

Users shall not purchase, activate or maintain multiple overlapping paid Subscriptions for the same User Account unless expressly permitted by the Platform.

Where multiple Subscriptions are purchased due to technical errors, duplicate payments or other exceptional circumstances, ConsulTOpen may:

• merge the Subscriptions;
• cancel duplicate Subscriptions;
• adjust billing records;
• issue appropriate credits where considered appropriate; or
• take any other commercially reasonable corrective action.

32. Grandfathering of Subscription Plans

Where ConsulTOpen discontinues, replaces or restructures any Subscription Plan, existing Subscribers may, at the sole discretion of ConsulTOpen, continue using their current Subscription until the expiry of the applicable billing period.

Upon renewal, such Users may be migrated to a revised Subscription Plan, pricing structure or membership programme.

Nothing contained herein obligates ConsulTOpen to continue offering discontinued Subscription Plans indefinitely.

Where immediate discontinuation becomes necessary due to legal requirements, security concerns, fraud prevention, operational necessity or circumstances beyond the reasonable control of ConsulTOpen, ConsulTOpen reserves the right to discontinue the affected Subscription Plan without waiting for the expiry of the current billing period, subject to applicable law.

33. Subscription Transfer & Assignment

Every Subscription purchased through the ConsulTOpen Platform is personal to the User Account with which it is associated.

Unless expressly authorised in writing by ConsulTOpen, Subscription Plans shall not be:

• transferred to another User;
• assigned to another individual or organisation;
• shared between multiple Users;
• resold;
• sublicensed;
• gifted;
• exchanged for cash or other consideration; or
• otherwise commercially exploited.

Users shall not attempt to circumvent these restrictions through:

• creation of multiple User Accounts;
• account sharing;
• credential sharing;
• unauthorised access;
• automated methods;
• fraudulent activity; or
• any other means intended to permit multiple individuals to use a single

Subscription.

Where ConsulTOpen reasonably believes that a Subscription has been transferred, shared, assigned or otherwise used in violation of this Policy, ConsulTOpen may, without limitation:

• suspend the Subscription;
• terminate the Subscription;
• revoke Subscription Benefits;
• require additional identity verification;
• restrict access to premium features;
• recover any promotional benefits obtained through such misuse;
• refuse future Subscription purchases; or
• take any other action reasonably necessary to protect the integrity of the Platform.

Nothing contained in this Section shall prevent ConsulTOpen from introducing transferable memberships, family plans, institutional subscriptions or any other alternative membership model in the future under separate terms and conditions.

PART V – SUBSCRIPTION BENEFITS & FEATURE ACCESS

34. Subscription Benefits

Each Subscription Plan offered by ConsulTOpen may provide access to additional Platform features, premium functionality, Artificial Intelligence capabilities and other benefits determined by ConsulTOpen from time to time.

The features, functionality and benefits available under each Subscription Plan shall be displayed on the Platform and may vary depending upon:

• the Subscription Plan selected;
• the applicable billing cycle;
• promotional campaigns;
• geographical location;
• institutional partnerships;
• enterprise agreements;
• beta programmes; or
• any other eligibility criteria determined by ConsulTOpen.

Nothing contained in this Policy guarantees the continued availability of any particular feature or benefit.

35. Platform Feature Access

Subscription Benefits relate solely to Platform features and functionality expressly designated by ConsulTOpen.

Without limitation, Subscription Benefits may include access to:

• premium Platform features;
• enhanced Artificial Intelligence functionality;
• advanced productivity tools;
• personalised educational resources;
• premium learning modules;
• exclusive digital content;
• advanced analytics;
• enhanced dashboards;
• future premium technologies; and
• any other Platform functionality introduced by ConsulTOpen.

The scope of available features may vary between Subscription Plans.

36. Artificial Intelligence Features

Certain Artificial Intelligence-powered tools and services may be available only to Users subscribed to eligible Subscription Plans.

Artificial Intelligence benefits may include, without limitation:

• increased usage limits;
• access to advanced AI models;
• premium AI-generated insights;
• enhanced AI-assisted recommendations;
• advanced educational tools;
• intelligent productivity features; and
• future Artificial Intelligence capabilities.

ConsulTOpen reserves the unrestricted right to determine which Artificial Intelligence features are available under each Subscription Plan.

Availability of AI features may change from time to time based upon technological developments, commercial considerations, infrastructure requirements or legal obligations.

37. Feature Modifications

ConsulTOpen continuously develops and improves the Platform.

Accordingly, ConsulTOpen reserves the unrestricted right to:

• introduce new Subscription Benefits;
• modify existing features;
• discontinue obsolete functionality;
• replace technologies;
• redesign premium services;
• revise usage limits;
• introduce new Artificial Intelligence capabilities;
• migrate existing features between Subscription Plans; and
• make any other commercially reasonable modifications.

Such modifications shall not constitute a breach of this Policy where undertaken in good faith and in accordance with applicable law.

38. Feature Availability

Certain Subscription Benefits may depend upon:

• device compatibility;
• internet connectivity;
• software compatibility;
• browser compatibility;
• operating system requirements;
• geographical availability;
• payment status;
• successful Subscription activation;
• third-party service availability;
• maintenance activities; or
• technical limitations.

ConsulTOpen does not guarantee uninterrupted availability of every Subscription Benefit at all times.

Temporary interruptions resulting from maintenance, software updates, technical failures, cybersecurity measures or Force Majeure Events shall not entitle the User to compensation unless otherwise required by applicable law.

39. No Consultation Benefits

Unless expressly stated by ConsulTOpen in writing, Subscription Plans do not provide:

• discounted consultation fees;
• complimentary consultation sessions;
• priority consultation booking;
• priority Consultant allocation;
• guaranteed Consultant availability;
• guaranteed appointment scheduling;
• preferential treatment during consultations; or
• any other consultation-related commercial benefit.

Consultation services shall remain separately governed by the applicable pricing, booking and consultation policies published by ConsulTOpen.

40. Future Subscription Benefits

ConsulTOpen reserves the unrestricted right to introduce additional Subscription Benefits in the future, including but not limited to:

• new Artificial Intelligence products;
• educational resources;
• digital learning content;
• assessment tools;
• certification support;
• scholarship resources;
• career development tools;
• internship support features;
• productivity tools;
• community features;
• collaboration tools;
• exclusive member programmes; and
• any other premium Platform functionality.

The introduction, modification or discontinuation of any Subscription Benefit shall not require execution of a new agreement and shall automatically become subject to this Policy unless expressly stated otherwise.

PART VI – USER RESPONSIBILITIES & SUBSCRIPTION RESTRICTIONS

41. User Responsibilities

Every User purchasing or accessing a Subscription Plan agrees to use Subscription Services responsibly, lawfully and in accordance with this Policy, the Terms & Conditions and every other applicable Platform Policy.

Without limitation, every Subscriber agrees to:

• provide accurate and complete account information;
• maintain the confidentiality of login credentials;
• keep payment information updated where required;
• comply with all applicable laws;
• use Subscription Benefits solely for their intended purpose;
• promptly notify ConsulTOpen of any unauthorised use of their Subscription or User

Account; and

• cooperate with any verification or investigation reasonably conducted by

ConsulTOpen.

42. Account Security

Subscribers remain solely responsible for maintaining the security of their User Account.

Users shall take reasonable steps to prevent unauthorised access to their Subscription, including safeguarding passwords, authentication credentials and registered devices.

Any activity occurring through a User Account shall be deemed to have been authorised by the account holder unless proven otherwise.

ConsulTOpen shall not be responsible for any loss arising from a User's failure to adequately protect their account credentials.

43. Prohibited Activities

Users shall not, directly or indirectly:

• share Subscription access with another person;
• permit unauthorised individuals to use Subscription Benefits;
• resell Subscription access;
• commercially exploit Subscription Benefits;
• attempt to bypass Subscription restrictions;
• manipulate Subscription pricing;
• misuse promotional offers;
• create multiple accounts to obtain additional Subscription Benefits;
• use automated tools or bots to abuse Subscription features;
• interfere with the operation of Subscription Services;
• reverse engineer Subscription functionality where prohibited by law;
• circumvent usage limits imposed by the Platform;
• engage in fraudulent or deceptive conduct; or
• otherwise misuse Subscription Services.

Such activities constitute a material violation of this Policy.

44. Promotional Abuse

Where a User obtains or attempts to obtain Subscription Benefits through fraudulent, deceptive or abusive means, ConsulTOpen reserves the unrestricted right to:

• revoke promotional benefits;
• terminate free trials;
• suspend Subscription access;
• cancel promotional memberships;
• recover improperly obtained benefits;
• permanently disqualify the User from future promotional campaigns;
• suspend or terminate the User Account; and
• take any other lawful action considered appropriate.

45. Subscription Usage Limits

Certain Subscription Plans may include usage limitations relating to:

• Artificial Intelligence usage;
• premium feature access;
• storage limits;
• processing limits;
• feature availability;
• access frequency;
• content generation;
• API usage;
• beta features; or
• any other operational limitation determined by ConsulTOpen.

Users shall not attempt to bypass, manipulate or artificially increase such limits.

ConsulTOpen reserves the unrestricted right to modify usage limits from time to time.

46. Suspension or Termination of Subscriptions

Without limiting any rights available under the Terms & Conditions, ConsulTOpen may suspend, restrict or terminate a Subscription where it reasonably believes that:

• this Policy has been violated;
• fraudulent activity is suspected;
• payment fraud has occurred;
• chargebacks have been initiated;
• Subscription sharing has occurred;
• promotional abuse has occurred;
• unlawful activity is suspected;
• security risks exist;
• regulatory requirements require such action; or
• continued access may adversely affect the Platform or other Users.

Such action may be taken immediately where reasonably necessary to protect the Platform, its Users or applicable legal interests.

47. Effect of Suspension or Termination

Where a Subscription is suspended or terminated under this Policy:

• Subscription Benefits may immediately cease;
• premium features may become unavailable;
• access to Artificial Intelligence features may be restricted;
• the User Account may revert to the Free Plan where appropriate;
• pending renewals may be cancelled;
• promotional benefits may be forfeited; and
• any outstanding payment obligations shall remain payable.

Suspension or termination of a Subscription shall not affect any rights or obligations that accrued prior to such suspension or termination.

48. Reporting Subscription Issues

Users experiencing issues relating to Subscription Services, billing, renewals, activation, payments or premium feature access are encouraged to promptly contact ConsulTOpen through its authorised support channels.

ConsulTOpen shall use commercially reasonable efforts to investigate and resolve genuine Subscription-related issues within a reasonable period, subject to the complexity of the matter and any verification requirements.

PART VII – FUTURE SUBSCRIPTION SERVICES

49. Future Subscription Programmes

ConsulTOpen is designed as a continuously evolving technology platform.

Accordingly, ConsulTOpen reserves the unrestricted right to introduce additional Subscription Plans, Membership Programmes and commercial offerings from time to time.

Without limitation, future Subscription Programmes may include:

• Family Memberships;
• Group Memberships;
• Institutional Memberships;
• School Memberships;
• University Memberships;
• Enterprise Memberships;
• Corporate Wellness Memberships;
• Working Professional Plans;
• Lifetime Memberships;
• Annual Memberships;
• Student Ambassador Programmes;
• Creator Programmes;
• Beta Memberships;
• Invite-only Memberships;
• Promotional Memberships;
• Regional Subscription Plans;
• International Subscription Plans;
• Artificial Intelligence Memberships;
• Credit-based Memberships;
• Usage-based Subscription Plans;
• Bundled Memberships; and
• any other subscription or membership model considered appropriate by

ConsulTOpen.

The introduction of any future Subscription Programme shall not require execution of a fresh agreement unless expressly stated otherwise.

50. Additional Subscription Benefits

ConsulTOpen reserves the unrestricted right to introduce additional Subscription Benefits from time to time.

Without limitation, future Subscription Benefits may include:

• premium Artificial Intelligence capabilities;
• advanced educational tools;
• career development resources;
• internship assistance features;
• scholarship support tools;
• productivity features;
• exclusive educational content;
• member-only communities;
• digital learning resources;
• beta access to new Platform features;
• personalised recommendations;
• enhanced dashboards;
• analytics tools;
• certification resources;
• premium integrations; and
• any other Platform functionality considered appropriate by ConsulTOpen.

Such benefits may be introduced, modified, relocated between Subscription Plans or discontinued at the sole discretion of ConsulTOpen.

51. Future Billing Models

Without limiting this Policy, ConsulTOpen reserves the unrestricted right to introduce additional billing models including:

• annual billing;
• lifetime memberships;
• prepaid memberships;
• post-paid memberships;
• usage-based billing;
• credit-based billing;
• bundled pricing;
• institutional pricing;
• enterprise pricing;
• promotional pricing;
• regional pricing;
• dynamic pricing;
• family billing;
• corporate billing; and
• any other commercially reasonable billing model.

The introduction of additional billing models shall automatically become subject to this Policy unless expressly stated otherwise.

52. Future Payment Technologies

ConsulTOpen may introduce additional payment technologies including, without limitation:

• digital wallets;
• recurring payment mandates;
• tokenised payments;
• international payment gateways;
• regional payment providers;
• banking integrations;
• fintech integrations;
• subscription credits;
• reward points;
• promotional credits;
• gift subscriptions;
• corporate invoicing; and
• any future payment technology considered appropriate.

Users acknowledge that payment technologies may evolve over time and that different payment methods may become available or unavailable depending upon jurisdiction, regulation or commercial requirements.

53. Platform Evolution

Users acknowledge that Subscription Services form part of an evolving technology ecosystem.

Accordingly, ConsulTOpen reserves the unrestricted right to:

• redesign Subscription Plans;
• redesign Membership Programmes;
• replace existing technologies;
• migrate Subscription infrastructure;
• introduce new Artificial Intelligence systems;
• replace third-party service providers;
• modify Platform architecture;
• expand internationally;
• launch mobile applications;
• launch desktop applications;
• introduce APIs;
• integrate future technologies; and
• undertake any other technological or commercial development reasonably

connected with Subscription Services.

Nothing contained in this Policy shall be interpreted as restricting ConsulTOpen's ability to innovate, expand or improve its Subscription ecosystem.

54. Reservation of Rights

Except where prohibited by applicable law, ConsulTOpen reserves the unrestricted right to:

• introduce new Subscription Plans;
• discontinue existing Subscription Plans;
• modify Subscription Benefits;
• revise pricing;
• revise billing cycles;
• revise eligibility requirements;
• introduce new Membership Categories;
• merge Subscription Plans;
• split Subscription Plans;
• rename Subscription Plans;
• modify Artificial Intelligence usage limits;
• introduce new premium features;
• withdraw obsolete features; and
• make any other commercially reasonable modification to Subscription Services.

Such modifications shall become effective in accordance with this Polic y and the Terms & Conditions and shall not constitute a breach of any contractual obligation merely because a Subscription Service has evolved or been modified.

PART VIII – GENERAL LEGAL PROVISIONS

55. Relationship with the Terms & Conditions

This Subscription & Membership Policy forms an integral part of the ConsulTOpen legal framework and shall be read together with the Terms & Conditions and every other applicable Platform Policy.

Unless expressly provided otherwise in this Policy, all general legal provisions contained within the ConsulTOpen Terms & Conditions shall apply equally to this Policy, including but not limited to provisions relating to:

• definitions;
• interpretation;
• governing law;
• jurisdiction;
• dispute resolution;
• arbitration;
• electronic records;
• electronic acceptance;
• limitation of liability;
• indemnification;
• intellectual property;
• force majeure;
• notices;
• severability;
• waiver;
• assignment;
• survival of obligations; and
• every other applicable legal provision.

Where any inconsistency exists between this Policy and the Terms & Conditions, the provision specifically governing Subscription Services shall prevail only with respect to the relevant subject matter unless otherwise required by applicable law.

56. Survival of Obligations

The following provisions shall survive the expiry, suspension, cancellation or termination of a Subscription, User Account or this Policy, to the extent applicable:

• outstanding payment obligations;
• refund restrictions;
• payment recovery rights;
• fraud investigations;
• audit rights;
• intellectual property rights;
• confidentiality obligations;
• limitation of liability;
• dispute resolution provisions;
• indemnification obligations;
• enforcement rights; and
• any other rights or obligations which, by their nature, are intended to survive

termination.

Termination of a Subscription shall not affect any accrued rights, liabilities or obligations existing prior to such termination.

57. No Waiver

Failure by ConsulTOpen to exercise or enforce any right, remedy or provision available under this Policy shall not constitute:

• waiver;
• abandonment;
• estoppel;
• limitation of future enforcement; or
• relinquishment of any legal right.

Any waiver shall be valid only if expressly made in writing by an authorised representative of ConsulTOpen.

58. Severability

If any provision of this Policy is held to be invalid, illegal or unenforceable by a court or competent authority, such provision shall be enforced to the maximum extent permissible under applicable law.

The remaining provisions shall continue in full force and effect.

To the extent reasonably possible, the invalid provision shall be interpreted in a manner consistent with its original commercial and legal intent.

59. Assignment

ConsulTOpen may assign, transfer or otherwise deal with its rights and obligations under this Policy in connection with:

• mergers;
• acquisitions;
• investments;
• restructuring;
• business transfers;
• strategic partnerships;
• corporate reorganisations; or
• any other lawful commercial transaction.

Users may not assign, transfer or delegate any rights or obligations arising under this Policy without the prior written consent of ConsulTOpen.

• Artificial Intelligence Policy;

Together, these documents constitute the complete contractual and operational framework governing Subscription Services provided through the ConsulTOpen Platform.

PART IX – CLOSING PROVISIONS

63. Policy Interpretation

This Policy shall be interpreted in a manner consistent with the ConsulTOpen Terms & Conditions and every other applicable Platform Policy.

Headings, titles and section numbers are provided solely for convenience and shall not affect the interpretation of this Policy.

Unless the context otherwise requires:

• words importing the singular shall include the plural and vice versa;
• words importing one gender shall include every gender;
• references to legislation shall include all amendments, re-enactments and

replacements thereof;

• the words "including", "includes" and "include" shall mean "including without

limitation"; and

• references to electronic records shall include every legally recognised electronic

communication.

64. Compliance with Applicable Law

ConsulTOpen intends to administer Subscription Services in accordance with all applicable laws, rules, regulations and governmental directions.

Nothing contained in this Policy shall limit or exclude any statutory rights that cannot lawfully be waived or excluded.

Where any provision of this Policy conflicts with mandatory legal requirements, such mandatory legal requirements shall prevail only to the extent of such conflict.
